Terms of Service

By accessing or using the CosmoOps Voice ("Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Platform.

These Terms constitute a binding agreement between you (and the organisation you represent, "Customer") and CosmoOps (OPC) Private Limited ("CosmoOps", "we", "us"). You represent that you have authority to bind your organisation to these Terms.

CosmoOps provides a cloud-based business communication and telephony management platform, including features for phone number management, call routing, team management, and onboarding of business customers for TRAI-regulated telephony services.

We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time with reasonable notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

• You must provide accurate, current, and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must notify us immediately at support@cosmoops.com if you suspect unauthorised access.
• We use magic-link email authentication. You are responsible for the security of your registered email account.
• Each account is for a single organisation. You may not share accounts across unrelated organisations.

Certain features of the Platform require you to complete a Know Your Business ("KYB") process as required by Indian telecom regulations (TRAI).

During onboarding, you may be asked to upload business documents (GST Registration Certificate, Certificate of Incorporation, PAN Card). These documents will be:

• Processed by an AI service (Google Gemini via Google Cloud Vertex AI) to automatically extract registration numbers, business name, and address details.
• Stored securely in Google Cloud Firebase Storage.
• Reviewed by CosmoOps staff for verification purposes.

By uploading documents, you confirm that: (a) you are authorised to share them on behalf of your organisation; (b) the documents are genuine, unaltered, and currently valid; (c) you consent to AI-assisted extraction as described in our Privacy Policy.

Providing false or fraudulent documents is a serious violation of these Terms and may constitute an offence under applicable Indian law.

Use of telephony features is subject to the Telecom Regulatory Authority of India (TRAI) regulations, including requirements for DLT (Distributed Ledger Technology) registration of commercial communications.

• You must not use the Platform to send unsolicited commercial communications (spam).
• You are responsible for obtaining and maintaining valid DLT PE registration for your organisation.
• You must comply with TRAI's TCCCPR 2018 regulations regarding consent, templates, and sender IDs.
• We reserve the right to suspend your telephony access if we receive credible evidence of violations.

You agree not to use the Platform to:

• Violate any applicable law or regulation.
• Infringe the intellectual property rights of any party.
• Transmit malware, spam, phishing content, or any harmful material.
• Conduct fraud, identity theft, or impersonation.
• Interfere with or disrupt the integrity or performance of the Platform.
• Attempt to gain unauthorised access to any part of the Platform or its infrastructure.
• Reverse engineer, decompile, or disassemble any portion of the Platform.

We may suspend or terminate your access immediately and without notice for material violations of this section.

The Platform, including all software, designs, trade marks, and content, is owned by CosmoOps or its licensors and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Platform.

You retain ownership of the data you submit to the Platform. By submitting data, you grant CosmoOps a non-exclusive, worldwide licence to process that data solely to provide the Platform to you.

The Platform integrates with third-party services including Google Cloud (Firebase, Vertex AI), Plivo Inc. (telephony), and Resend Inc. (email). Your use of these services through the Platform is subject to the respective third-party terms. CosmoOps is not responsible for the acts or omissions of third-party service providers.

Any applicable fees will be set out in your subscription agreement or order form. All fees are exclusive of applicable taxes (including GST). Payment terms are as agreed in the order form. We reserve the right to suspend access for unpaid invoices after providing 7 days' written notice.

All billing, cancellations, subscription modifications, and refund requests are governed by our Refund Policy.

Each party agrees to keep the other's confidential information strictly confidential and not to disclose it to third parties without prior written consent, except as required by law or to carry out obligations under these Terms.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

AI-extracted data from KYB documents is provided for convenience only. You are responsible for verifying accuracy before relying on extracted information for any legal or regulatory purpose.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COSMOOPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

COSMOOPS' TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO COSMOOPS IN THE 3 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless CosmoOps and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) the documents or data you provide to the Platform.

These Terms remain in effect until your account is terminated. You may terminate your account by contacting us at support@cosmoops.com. We may terminate your account for cause (material breach, non-payment, or violation of applicable law) with 7 days' notice, or immediately for serious violations.

Upon termination, your right to access the Platform ceases. Sections 7, 10, 11, 12, 13, and 16 survive termination.

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 15 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India. Prior to litigation, the parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days.

• Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and CosmoOps regarding the Platform.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
